SEBI has released a Consultation Paper to clarify the term ‘pecuniary relationship’ of debenture trustee (DT) with issuer as per Regulation 13A of DT Regulations. SEBI has proposed to clarify that the pecuniary relationship excludes remuneration payable to DTs. Further, SEBI has proposed that issuers must disclose in the offer document the remuneration/revenue received by DTs from the issuer w.r.t debenture trusteeship services as a percentage of total remuneration received in the last 3 FYs.
