Extension of timelines to hold AGM via VC/OAVM shouldn’t be construed as an extension of time of AGM: MCA

GENERAL CIRCULAR NO. 2/2022, Dated 05.05.2022
The MCA vide. its earlier General Circular permitted companies whose AGMs are falling in the year 2022, to conduct their AGMs on or before December 31, 2022, through VC or OAVMs. Now, the MCA has clarified that this circular shall not be read as allowing any extension of time for holding of AGMs by the companies under the Companies Act, 2013. Further, the companies which fail in holding AGM within the specified time limit shall be liable for legal action under the Companies Act.
